1. Introduction

These Terms of Use (“Terms”) are entered into by and between you and **Harstco Moving Pictures LLC**, also referred to as “Harstco,” “Company,” “we,” “our,” or “us.”

These Terms govern your access to and use of all websites, domains, subdomains, digital platforms, applications, and online services owned or operated by Harstco (collectively, the “Websites”), including but not limited to any content, functionality, products, and services offered through them.

By accessing or using the Websites, you:

* Acknowledge that you have read and understood these Terms;

* Agree to be legally bound by them; and

* Agree to our Privacy Policy, which is incorporated herein by reference.

If you do not agree, you must not use the Websites.

For purposes of these Terms, “Affiliated Parties” means Harstco Moving Pictures LLC and its members, managers, officers, directors, employees, contractors, agents, licensors, licensees, affiliates, subsidiaries, successors, and assigns.

You represent and warrant that you are at least 18 years old or are using the Websites with the consent of a parent or legal guardian who agrees to be bound by these Terms.

Risk of loss and title pass to you upon delivery to the carrier. Delivery estimates are not guaranteed. We are not liable for shipping delays beyond our control.

15. Disclaimer of Warranties

THE WEBSITES AND ALL CONTENT, PRODUCTS, AND SERVICES ARE PROVIDED “AS IS” AND “AS AVAILABLE.”

TO THE MAXIMUM EXTENT PERMITTED BY LAW, HARSTCO DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

YOUR USE IS AT YOUR OWN RISK.

16. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, HARSTCO SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES.

TOTAL LIABILITY SHALL NOT EXCEED THE GREATER OF:

* $100 USD; OR

* THE AMOUNT YOU PAID US IN THE THREE (3) MONTHS PRIOR TO THE CLAIM.

17. Indemnification

You agree to defend and indemnify Harstco and its Affiliated Parties from claims arising from:

* Your use of the Websites

* Your violation of these Terms

* Your infringement of third-party rights

18. Release

You release Harstco from claims arising from disputes between users or third parties related to the Websites.

19. Termination

We may suspend or terminate access at any time without notice. Provisions relating to intellectual property, disclaimers, arbitration, and liability survive termination.

20. Arbitration and Dispute Resolution

Agreement to Arbitrate: Any dispute, claim, or controversy arising out of or relating to these Terms or your use of the Sites shall be resolved exclusively through binding arbitration,
rather than in court.

Location and Rules: Arbitration shall be conducted in Wilmington, Delaware, in accordance with the Commercial Arbitration Rules of the American Arbitration Association (AAA).

Class Action Waiver: You and Harstco Moving Pictures LLC agree that all disputes must be brought in an individual capacity, and not as a plaintiff or class member in any purported
class, collective, or representative proceeding.

Exceptions: Either party may seek relief in small claims court for disputes within the court’s jurisdiction, or seek injunctive or equitable relief in a court of competent jurisdiction in
Delaware for claims involving intellectual property rights.

21. Limitation on Time to File Claims

Any claim must be brought within one (1) year of accrual or be permanently barred.

22. Governing Law & Jurisdiction

These Terms are governed by the laws of the State of Delaware.

If arbitration is deemed unenforceable, the parties submit to exclusive jurisdiction of the state and federal courts located in Delaware.

23. Waiver & Severability

If any provision is invalid, the remainder remains in effect.

24. Entire Agreement

These Terms and the Privacy Policy constitute the entire agreement between you and Harstco.
